These general terms and conditions of sale are entered into by MEDIAMART, with registered office at 114 rue des Vanniers, 40150 Soorts-Hossegor, France (hereinafter "MEDIAMART"), and any buyer acting for the purposes of their trade.

APPLICATION – ENFORCEABILITY

Any order for products implies the buyer's unreserved acceptance of, and full adherence to, these general terms and conditions of sale, which prevail over any contrary terms of the buyer, regardless of when they may have been brought to MEDIAMART's attention, unless expressly and previously agreed otherwise by MEDIAMART. Due to the specific services provided to exclusive dealers, MEDIAMART reserves the right to apply different pricing, payment, return and transport terms to them.

ORDERS

Orders are irrevocable for the buyer once received by MEDIAMART, unless MEDIAMART agrees in writing to cancel or modify them. Orders may be placed by any means, but in writing, and are fulfilled by MEDIAMART subject to available stock.

PRICE

MEDIAMART's prices do not constitute an offer and may be changed without notice. Products are always invoiced at the rate in effect at MEDIAMART at the time of delivery.

DELIVERY

Deliveries are made subject to availability. MEDIAMART is authorised to make deliveries in full or in part. Any delivery time given by MEDIAMART is purely indicative, without commitment on its part. Products are always shipped by the carrier chosen by MEDIAMART. They travel at the recipient's own risk, even in the case of a carriage-paid sale.

RECEIPT – INSPECTION – CLAIMS FOR NON-CONFORMITY

Products must be inspected by the buyer upon receipt, in the presence of the carrier. In the event of damage or missing products, the buyer must note this on the delivery note and confirm their reservations by registered letter with acknowledgement of receipt, with a copy sent to MEDIAMART, to the carrier within three days of receiving the products. Claims relating to apparent or visual defects, or non-conformity of products with the order, must be made in writing within eight days of receipt, failing which they will be time-barred.

RETURNS

Under the conditions provided for by the applicable provisions of the French Consumer Code, and within the context of distance selling, the online customer has a 14-day cooling-off period from the date of their order. The online customer has 28 days to return their order, which will be refunded upon return of the delivered products. Note that the customer's right of withdrawal begins as soon as the parcel is sent. To facilitate the processing of your return, we recommend contacting us for advice on returning your products. The customer must return the goods in their original condition, accompanied by a copy of the invoice, with undamaged packaging. Returns are made at the customer's own expense and risk.

WARRANTY

Unless otherwise stated on the product or provided at the time of purchase, products are guaranteed against any material or manufacturing defect for six months (or, if the applicable legal or regulatory period is longer, for that longer period), from the date of delivery. This warranty is limited solely to the free replacement of products recognised as defective by MEDIAMART, to the exclusion of any other remedy, subject to mandatory legal provisions. To benefit from the warranty, the product must first be submitted to MEDIAMART's after-sales service, whose agreement is required for replacement. Defects and damage caused by abnormal storage conditions, an accident, faulty maintenance, or a modification of the product not provided for by MEDIAMART, will not be covered by the warranty.

RISK – RETENTION OF TITLE CLAUSE

MEDIAMART retains ownership of the products sold until full payment of the price and any additional costs, duties and taxes. This provision does not prevent the transfer to the buyer, upon handover to the carrier, of the risks of loss, theft or damage to the products.

PAYMENT

Payments are made without discount at MEDIAMART's registered office, according to the terms agreed and stated on the order form and invoice. Payment, within the meaning of this clause, does not mean the simple delivery of a cheque or bill of exchange, but their actual encashment or settlement on the agreed due date.

LATE OR NON-PAYMENT – PENALTIES – TERMINATION

Any sum not paid by the due date stated on the invoice results in the application, at the buyer's expense, of penalties set at one and a half times the legal interest rate. Pursuant to Article L.441-6 of the French Commercial Code, these penalties are due automatically without the need for a reminder. In the event of late payment, MEDIAMART reserves the right to suspend all current orders and to make any delivery conditional upon full and prior payment of the corresponding invoice.

CONFIDENTIALITY

All technical documents that may be provided to the buyer remain the exclusive property of MEDIAMART, the sole holder of intellectual property rights over these documents, and must be returned upon request.

JURISDICTION

The competent jurisdiction for any dispute, of whatever nature, shall be that of the location of MEDIAMART's registered office. This clause applies even in the case of summary proceedings, third-party claims, multiple defendants, or warranty claims, and regardless of the method and terms of payment.
